- Position: Paralegal – Corporate and Real Estate Law
- Location: San Antonio, TX
- Work schedule: Hybrid Schedule Available
- Salary Range: $85K - $90K Annually, Bonus Potential
Our senior partner is well known and has provided legal expertise for over 20 years to his clients in the areas of real estate law, corporate and securities law, corporate finance and lending, mergers & acquisitions and other business transactions. He and his team assist clients in a range of industries, handling everything from basic agreements to the most critical business transactions including manufacturing, professional services and specialty services, and real estate development and investment.
Essential Job Functions:
- Transaction Assistance
- Draft and maintain closing checklists for mergers & acquisitions, real estate, and commercial lending transactions.
- Facilitate closings by obtaining good standing certificates, conducting UCC (Uniform Commercial Code), bankruptcy, and litigation searches, filing UCC financing and termination statements, and creating closing binders.
- Create and track signature pages, coordinate execution of transaction documents (including using electronic signatures), and compose final execution versions of transaction documents.
- Review, proofread, and revise various agreements and contracts, including loan documents, real estate documents, leases, purchase agreements, etc.
- Review title documents and surveys and assist with the preparation of title objections and curative instruments.
- Track critical contract dates, deadlines, and progress on contract-related tasks.
- Corporate Filings
- File formation, amendment, conversion, and dissolution documents for various types of entities.
- File real estate documents and lien documents in the applicable state and county real property records.
- Oversee the firm’s corporate account with the secretary of state, DocuSign, and eRecording accounts.
- Ensure the firm is in compliance, including filing annual report each year with Texas Secretary of State.
- Corporate Recordkeeping
- Draft organizational documents, amendment and termination documents, and consents.
- Obtain EINs.
- Prepare stock certificates and membership interest certificates.
- Maintain corporate records for clients.
- Client Engagement
- Prepare engagement letters and opening forms for new clients and communicate directly with clients regarding same.
- Prepare various correspondences to clients regarding tax notices, status updates, etc.
- Complete all other job duties as required.
Qualifications:
- 2 + years’ experience as a real estate paralegal; and
- Paralegal certification and/or associate’s degree in paralegal studies; and/or bachelor’s degree in paralegal studies; and
- Proficiency in Microsoft Office (MS Excel, MS Word, Teams and MS Outlook), Adobe Acrobat, DocuSign, TimeSolv and other programs required.
- Superior communication skills when collaborating with lawyers and coordinate with buyers, sellers, developers or other real estate personnel.
- Proficient in English language, grammar, and legal vocabulary to create and send professional emails, letters and legal documents.
- Great organizational skills and ability to prioritize numerous tasks and complete them within time limits.
- Strong understanding of legal terminology and real estate verbiage.
